US Company Formation for Non-Residents
Form an LLC or corporation in the US without moving there
You do not need to live in the United States to start a business here.
You do, however, need to make a few decisions before choosing a state and clicking “register.”
Should you form an LLC or a C Corporation? Does Delaware make sense for your business, or will it create an extra registration? Can you get an EIN without an SSN? What will you need for banking, taxes, and annual compliance once the company exists?
Entelyglobal helps international entrepreneurs complete US company formation remotely, with support that continues after the state approves the business.
LLC or corporation? Start with how you plan to use the business
The right entity depends less on what is most popular and more on what you intend to build.
LLC formation
An LLC is often considered by consultants, agencies, ecommerce sellers, online businesses, and owner-managed companies that value flexible ownership and management.
An LLC may have one or several owners. Its tax treatment depends on the ownership and any elections made after formation.
That distinction is important. Registering an LLC determines the legal structure. It does not answer every tax question.
C Corporation formation
A C Corporation may be more suitable when the business expects to issue shares, create employee equity, raise institutional investment, or build toward an acquisition.
Corporations follow a more formal governance structure and are generally treated as separate taxpayers.
What about an S Corporation?
An S Corporation is a federal tax election rather than a separate type of state entity.
It also has shareholder eligibility rules that generally prevent non-resident aliens from owning shares. This means it is usually not available to founders who are not US tax residents.
Entelyglobal helps you understand these differences before the company registration is filed.
What our US LLC formation service includes
Entity selection
We review your ownership, business activity, operating location, fundraising plans, and expected tax position before confirming the entity.
State registration
We prepare and submit the formation documents required by the Secretary of State or equivalent business authority.
Registered agent service
Every US company needs an eligible registered agent in its formation state to receive official notices and legal documents.
EIN registration
We help prepare the application for the company’s Employer Identification Number, which is commonly required for federal tax filings, banking, payroll, and business accounts.
Company formation documents
Depending on the entity, this may include an operating agreement, bylaws, initial resolutions, and ownership records.
Post-formation planning
We help identify the bookkeeping, tax, annual report, banking-documentation, and state requirements that may follow registration.
Delaware, Wyoming, or another state?
Delaware and Wyoming appear in almost every conversation about US company formation.
They are useful options in the right circumstances. They are not automatic choices.
Delaware LLC and corporation formation
Delaware is commonly considered by startups that expect institutional funding because investors and legal teams are familiar with its corporate law and governance framework.
A founder who forms in Delaware but operates in another state may still need to register and pay fees in both states.
Wyoming LLC formation
Wyoming is often considered by smaller and location-independent businesses because of its relatively simple administration and privacy features.
That does not remove federal tax obligations or registrations that may arise in another state where the business operates.
The state where you actually operate
When a company has employees, an office, inventory, or substantial activity in one state, registering there may be the more practical choice.
The best state is the one that fits the business model, not the one mentioned most often in YouTube videos.
How to register a company in the USA from India or any other country
US company formation for non-residents can usually be completed remotely.
The process typically involves
- Choosing the entity and formation state
- Confirming the company name
- Appointing a registered agent
- Filing the formation documents
- Applying for an EIN
- Preparing the operating or corporate records
- Organizing the documents needed for banking
- Setting up bookkeeping and compliance
You do not generally need a US partner merely to own an LLC or C Corporation.
Company formation does not provide a US visa, permission to work in the country, or automatic approval for a business bank account. These are separate processes.
Getting an EIN without an SSN
A non-resident founder may be able to obtain an EIN even without a Social Security number.
The application route is different when the company’s principal place of business is outside the United States. International applicants generally cannot use the standard IRS online EIN system.
The application must clearly identify the legal entity, responsible party, business activity, and reason for applying.
Entelyglobal helps prepare the EIN registration after the company has been formed by the state.
EIN or ITIN? They are not the same
An EIN identifies the company.
An ITIN identifies an individual who has a US federal tax purpose but is not eligible for an SSN.
You may need an EIN to operate the business, open certain financial accounts, hire employees, or file company tax returns.
You do not automatically need an ITIN simply because you own a US company. An ITIN may become necessary when the owner has an individual US tax filing or another qualifying federal tax requirement.
Applying for both numbers “just in case” is not a strategy. Each application should have a clear purpose.
Preparing to open a US business bank account
A registered company and EIN are important, but they do not guarantee bank approval.
Banks and financial platforms may review
- The owner’s identity and country of residence
- Company ownership
- Business activity
- Source of funds
- Expected transaction patterns
- Operating and mailing addresses
- Formation and tax documents
- The countries where customers and vendors are located
Entelyglobal can help organize the company documents commonly requested during the application.
The financial institution makes the final approval decision.
Your company is formed. What comes next?
US LLC registration is the beginning of the compliance process, not the end.
After formation, the company may need
- A business bank account
- Bookkeeping from the first transaction
- Federal and state tax filings
- Annual reports
- Franchise tax payments
- Registered agent renewal
- Sales tax registration
- Payroll registration
- Business licenses
- Foreign qualification in another state
Some filing requirements may apply even when the company has not earned revenue.
Starting the accounting and compliance setup early is usually easier than reconstructing a year of activity when a filing deadline arrives.

Why global founders work with Entelyglobal
Forming a company from another country creates questions that rarely fit inside a basic registration package.
A founder may need to understand the company structure, EIN process, bank documentation, bookkeeping, tax filings, and annual state obligations at the same time.
Entelyglobal brings those connected requirements into one process.
The team does not disappear once the formation certificate arrives. Support can continue into bookkeeping, tax preparation, ITIN applications, annual reports, and other compliance needs.
That gives international founders a clearer view of both the company they are forming and the business they will need to maintain.
Frequently asked questions
Can a non-US resident form an LLC?
Yes. A non-US resident can generally own a US LLC. The right state, tax treatment, and filing requirements depend on where the business operates and how it earns income.
Can I form an LLC online?
Yes. Most of the company formation process can be completed remotely. The required information and processing time vary by state.
Do I need an SSN to get an EIN?
Not always. Foreign owners who do not have an SSN may still be able to apply for an EIN using the international application process.
Do I need a US address?
A registered agent must have an eligible physical address in the formation state. Banks and other providers may request a separate business or mailing address.
How long does company formation take?
State processing, EIN issuance, and bank review are separate stages. The timeline depends on the state, filing method, and the information provided.
Start with the business you plan to run
US company formation should reflect how you intend to own, fund, operate, and maintain the business.
Entelyglobal helps you choose the structure, complete the registration, and prepare for the responsibilities that follow.
